Public activities  Unilever companies are encouraged to promote and defend their legitimate business interests. Unilever will co-operate with governments and other organisations, both directly and through bodies such as trade associations, in the development of proposed legislation and other regulations which may affect legitimate business interests. Unilever neither supports political parties nor contributes to the funds of groups whose activities are calculated to promote party interests.  The environment  Unilever is committed to making continuous improvements in the management of our environmental impact and to the longer-term goal of developing a sustainable business. Unilever will work in partnership with others to promote environmental care, increase understanding of environmental issues and disseminate good practice. Innovation  In our scientific innovation to meet consumer needs we will respect the concerns of our consumers and of society. We will work on the basis of sound science, applying rigorous standards of product safety. Competition  Unilever believes in vigorous yet fair competition and supports the development of appropriate competition laws. Unilever companies and employees will conduct their operations in accordance with the principles of fair competition and all applicable regulations.  Business integrity  Unilever does not give or receive, whether directly or indirectly, bribes or other improper advantages for business or financial gain. No employee may offer, give or receive any gift or payment which is, or may be construed as being, a bribe. Any demand for, or offer of, a bribe must be rejected immediately and reported to management. Unilever accounting records and supporting documents must accurately describe and reflect the nature of the underlying transactions. No undisclosed or unrecorded account, fund or asset will be established or maintained.  Conflicts of interest    All Unilever employees are expected to avoid personal activities and financial interests which could conflict with their responsibilities to the company. Unilever employees must not seek gain for themselves or others through misuse of their  positions.  Compliance, Monitoring & Reporting  Compliance with the Code of Business Principles above is essential to the success and continuity of our business. The Board  bears overall responsibility for ensuring that these principles are communicated to, and understood and observed by, all employees. On a day-to-day basis, this responsibility is delegated to the senior management of all the categories, functions, regions and operating companies. As part of this responsibility they should, where necessary, provide more detailed guidance tailored to local needs, in addition to monitoring and reporting on compliance with the principles each year. Compliance with the Code is subject to review by the Board, with the support of the Audit Committee and the Unilever Executive Committee. Any breaches of the Code must be reported in accordance with the procedures specified by the joint secretaries. The Board of Unilever will not criticise Management for any loss of business resulting from adherence to these  principles and other mandatory policies and instructions. The Board of Unilever expects employees to bring to their attention, or to that of senior management, any breach or suspected breach of these principles. Provision has been made for employees to be able to report in confidence and no employee will suffer as a consequence of doing so. Whistleblower Mechanism  Unilever Indonesia has put in place a whistleblower mechanism for reporting any breach or suspected breach of the Code of Business Practice or any other ethics violations. Employees can report violations either directly to their line managers or to the Blue Umbrella team, which comprises the human Resource, Legal, Internal Audit and Communication departments and is headed  by the Human Resource Director. Upon receiving a report, the Blue Umbrella team appoints a assigns a team to investigate the issue. Appropriate action will be taken in respect of any proven ethics violation. All such reports are recorded in a system that can be accessed by Unilever Regional and Global offices. These offices also monitor the processing and follow-up of the cases. Employees also have the option of reporting through Unilever’s global ethics hotline. In this case, the issue is followed up by Unilever Global. Internal Control Unilever’s control framework is documented and regularly reviewed and updated by the BoD. The control framework covers risk management, internal control procedures and disclosure controls, which are designed to provide reasonable, but not absolute, assurance that assets are safeguarded, the risks facing the business are being addressed and all information that must be disclosed is reported to the Board. The controls embrace financial, operational, social, strategic and environmental risks and regulatory matters. The control framework is complemented by our CoBP, which sets the standards of professionalism and integrity for Unilever  ’s operations worldwide, and by our compliance with the Sarbanes Oxley Act, particularly section 404 on the Management’s Assessment Process for the purpose of the parent company’s reporting, which requires the senior management in each business unit to assess the effectiveness of financial controls. Internal Audit Unit The Internal Audit Unit (IAU) provides independent, objective assurance and consulting services to improve the effectiveness, discipline and integrity of the Company’s operations and thereby  help the Company to achieve its objectives. According to the Internal Audit Charter, the responsibilities of the IAU include: ã  Identifying and evaluating significant exposures to risk and contributing to the improvement of risk management and control systems; ã  Assisting the Company in maintaining effective controls by evaluating their effectiveness and efficiency and by promoting continuous improvement to achieve the following conditions:  - Financial and operational information is reliable and possesses integrity, - Operations are performed efficiently and achieve effective results, - Assets are safeguarded, and - Actions and decisions of the Company are in compliance with laws and regulations. The IAU is responsible for preparing an annual audit plan in consultation with the President Director and the Audit Committee, and is required to communicate frequently with the BoC, BoD and the Audit Committee on its execution. Upon the conclusion of each audit, the IAU produces a written report on the findings, conclusions and recommendations and present a summary of the same to the President Director and the BoC. The IAU is responsible for following up the audits to ensure that management actions have been effectively implemented or that senior management has accepted the risk of not taking action. It also assists management to comply with the Sarbanes Oxley Act,  particularly section 404 for the purpose of the parent company’s reporting. Full responsibi lity for compliance remains with the management. The IAU also coordinates with the External Auditor on its audit of our financial statements. The IAU is governed by the Internal Audit Charter, which specifies the structure of the IAU, its duties and responsibilities. The Internal Audit Unit is led by the Internal Audit Group Manager, who is appointed by the BoD and approved by the BoC, and reports directly to the President Director of the Company. The Internal Audit Group Manager is assisted by a number of internal auditors. Mr. Ferry Arief Sunandar is the current Internal Audit Group Manager. External Audit Our consolidated financial statements for the year ended 31 December 2011 were audited by public accountants KAP Tanudiredja, Wibisana & Rekan (a member firm of PwC global network). This firm did not render any non-audit services for the Company during the year. Implementation of a Quality Management System Our operations are subject to a number of strict quality management systems. Our products, operating plants and internal systems achieved ISO 9001 certification more than ten years ago, and are recertified every three years, with interim verifications annually. The ISO 22000 Food Safety System is applied to our Food & Beverages manufacturing processes, while our environmental management system is certified to ISO 14001 Environmental Management Standard. Product safety is always a top priority, and our Safety and Environmental Assurance Center (SEAC) has been established to assess and provide assurance on both the products and the processes involved. New products and new technologies undergo a rigorous independent safety process, and the entire product innovation process is subject to stringent safety and health assessments as well as regulatory and legal assessments. These assessments are performed again prior to the launching of the  product. Sometimes, a product is accidentally released to the market without meeting our high safety and quality standards. Such  products might have a quality defect, contamination of raw materials, or mislabelling of ingredients. To ensure quality in the supply chain, suppliers are only approved following a rigorous audit of their reliability, quality management and compliance with various criteria on fair and sustainable business practices. All our raw materials supplies are  put through various checkpoints to ensure their safety and compliance with regulatory and legal requirements. Consumer Care The Company handles customer complaints and inquiries through a dedicated consumer care service, ‘Suara Konsumen.’  Through Suara Konsumen, we seek to strengthen the relationship between the Company and our consumers and customers by responding to their concerns and expectations regarding our products, and by increasing their satisfaction with our products. Suara Konsumen operates a Consumer Care Line which is open five days a week during working hours. Details of callers are kept strictly confidential. Consumers are encourage to use the Care Line to offer suggestions and express satisfaction as well as for complaints and inquiries. Nevertheless, in 2011, of a total 48,726 instances of feedback, by far more than 90% were inquiries. All complaints and inquiries have been dealt satisfactorily.  Feedback is dealt with according to strict protocols. Consumer Advisory Service (CAS) Agents receive the feedback and respond immediately, where possible, using the product knowledge database. If the CAS Agent cannot give a response, it is referred to the relevant department. Complaints are categorized as normal, high priority and emergency, and the response is coordinated with relevant divisions through identified contact persons. The findings and insights derived from the Consumer Care Line are communicated throughout the Company in the form of Monthly and Online Reports for each brand. Every month, a Top Ten Feedback list is submitted to senior management for their review. The performance of Suara Konsumen is evaluated through periodic Consumer Satisfaction Studies and through frequent spo ntaneous checks by ‘mystery callers’ to ensure that call handling procedures are in compliance with the protocols.   Procurement of Goods & Services Our procurement practices are guided by the Unilever Business Partner Code and the Sustainable Agriculture Code. The Business Partner Code is designed to ensure fair working conditions throughout the supply chain, including respect for human rights, freedom of association, and wage systems and working hours that are compliant with Indonesian law. We also seek assurance that our suppliers meet our health, safety, and environmental protection standards. The Sustainable Agriculture Code is aimed at encouraging our suppliers and farmers to adopt farming sustainable practices. Our policy on sourcing raw materials priorities local sources where feasible. All prospective suppliers undergo an audit of their reliability and quality management, and their performance on environment, human rights, and other social issues is screened according to the Codes above.
